Please read these Terms of Service ("Terms", "Agreement") carefully before using the Nexa Reply (AutomationDM) platform and mobile application operated by Nexa Reply Technologies & AutomationDM ("we", "us", or "our").

1. Acceptance of Terms & Eligibility

By registering an account, connecting an Instagram Professional/Business account, or subscribing to our plans, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cancellation & Refund Policy. You must be at least 18 years old or possess legal parental authorization to use this Service.

2. Compliance with Meta Platform Terms

Nexa Reply connects to Instagram exclusively through official Meta Graph API integrations. By using our service, you also agree to comply with:

• Meta Developer Platform Terms
• Instagram Community Guidelines
• Meta Business Messaging Policies

3. Subscriptions, Billing & Cancellations

• Subscription Plans: We offer Free tier as well as paid monthly and annual tiers (Creator, Pro, Agency). Features, DM allowances, and account limits are defined in our billing dashboard.
• Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
• No Long-Term Contracts: There are no long-term contracts. You can cancel your subscription at any time directly through the app (Settings > Subscription & Billing).
• Refund Guarantee: Initial paid purchases are backed by our 14-Day Money-Back Guarantee. Please refer to our full Cancellation & Refund Policy for complete details.
• Price Changes: We reserve the right to modify subscription pricing with at least 30 days of prior advance notice sent to your registered email.

4. Acceptable Use & Anti-Spam Policy

Our platform is engineered for legitimate creators, coaches, and businesses to automate responses to interested followers and commenters. You strictly agree NOT to use the Service for:

• Sending unsolicited cold bulk spam, phishing, scams, or deceptive promotional content.
• Circumventing Meta safety rate limits or attempting to send more than the safety cap (180 DMs/hour).
• Distributing unlawful, harassing, defamatory, fraudulent, or adult content.
• Attempting to reverse-engineer, decompile, or compromise our cloud infrastructure.

We actively monitor compliance. Any accounts flagged for spam or abusive activities will be terminated immediately without refund.

5. Account Responsibility & Security

You are responsible for safeguarding your login credentials. You agree to notify us immediately of any unauthorized access or security breach. We are not liable for any losses arising from unauthorized access resulting from your failure to protect your login.

6. Limitation of Liability & Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While we maintain a 99.9% uptime target using enterprise AWS architecture, we do not warrant that the service will be uninterrupted or error-free. We shall not be liable for any indirect, incidental, special, or consequential damages resulting from third-party Meta API throttles, changes, or service interruptions beyond our direct control.

7. Termination

You may terminate your account at any time by disconnecting your Instagram account and deleting your account in the app settings. We reserve the right to suspend or terminate accounts that breach this Agreement or Meta's Platform policies.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal actions or proceedings shall be subject to the exclusive jurisdiction of the competent courts in India.
